Terms of Service

Overview
Welcome to ROC Web Tech. These Terms of Service (“Terms”) govern your use of the services provided by ROC Web Tech, a web design and automation agency based in Rochester, New York, owned and operated by Connor Meador. We build custom websites, smart automations, and AI-powered tools for service-area businesses across Western and Central New York.
When you sign an intake form, accept a proposal, or pay an invoice, you agree to these Terms. They apply to every engagement we take on — from a single Starter build to a multi-month Authority project with ongoing hosting. We've tried to write them in plain English. In these Terms, “we,” “us,” and “ROC Web Tech” mean the agency. “You” and “client” mean the business or person engaging us.
1. Services
ROC Web Tech builds three categories of work:
- Custom Next.js websites — fast, statically-generated marketing sites and landing pages tuned for local search and conversion. Deployed on Vercel.
- Smart automations — workflows that connect your tools (CRM, scheduling, email, SMS, lead capture) so the manual work runs itself.
- AI-powered tools — AI chat assistants, content generation pipelines, intake summarizers, and review-response drafters plugged into your site or operations.
We focus on service-area businesses (SABs) — contractors, mechanics, lounges, advisors, restaurants, professional services — in Rochester, the surrounding Monroe County metros, Syracuse, and Buffalo.
Three packages. Each combines a one-time build fee with an ongoing monthly hosting fee:
- Starter — $750 build + $20/mo hosting. Solo operators, single-location SABs, simple lead capture.
- Growth — $1,250 build + $30/mo hosting. Multi-service businesses needing SEO + automations.
- Authority — $2,500 build + $40/mo hosting. Established brands needing custom AI tools + content ops.
Hosting includes deployment on Vercel, SSL certificate, basic analytics, and monthly minor updates (small copy edits, link fixes, image swaps, dependency patches). Larger work falls under change requests.
2. Payment terms
Build fees are split 50/50. A 50% deposit is due before work begins; the remaining 50% is due on go-live (the day your site is published to your live domain). Deposits are non-refundable — they reserve our calendar and cover discovery, planning, and the initial build.
Hostingis billed monthly, prepaid 30 days in advance, and auto-renews each month unless cancelled with 30 days' written notice.
Invoicesare due on receipt for credit-card clients and NET 30 for invoiced clients. Past-due balances older than 14 days may result in service being paused — including taking your site offline — until the balance is settled. We'll send at least two reminders before any pause, and we'll never delete your data without notifying you first.
We accept credit card, ACH, or check. Card payments are processed through Stripe; we don't store card numbers ourselves.
3. Project scope & change requests
Scope for every engagement is locked in your initial intake form — the questionnaire you fill out before we kick off. It captures the pages, features, integrations, and content scope we committed to building. We treat it as the source of truth.
Two rounds of revisions are included per design phase (initial design review and a final polish pass before launch). Revisions inside the agreed scope are free.
Change requests beyond the locked scope fall into one of two paths: billed hourly at $95/hr, or rolled into a package upgrade (e.g. Starter → Growth) where the new scope absorbs the change. We'll always give you a written estimate before starting out-of-scope work.
4. Portfolio feature
Your finished site will be featured in our work portfolio at www.rocwebtech.com/work. This includes a link from rocwebtech.com → your site, your business name + logo + a short case-study writeup + a screenshot of the live site. This feature is a standard part of every engagement and is included at no additional cost — it gives your business a backlink from a Rochester-authority domain (which improves your Google rankings) and lends credibility from the agency that built your site.
If you'd prefer not to be featured, contact us in writing within 14 days of go-live to request removal — we'll comply within 7 business days.
The case-study writeup is short (a paragraph or two) and we'll share it with you before it goes up so you can flag anything sensitive. We don't publish proprietary information, internal metrics you haven't approved, or anything covered by an NDA.
5. Intellectual property
On final payment, you ownthe delivered website: the code we wrote specifically for your project, the content you supplied, your brand assets, and your domain configuration. We'll hand over a clean GitHub repository (or a code archive) on request.
We retain rights to: generic UI patterns and component primitives we reuse across clients; our internal tooling, automation templates, and build pipeline; and our workflow methodology.
Open-source components (Next.js, React, Tailwind, npm packages) keep their original licenses. Stock imagery and third-party assets remain under their respective licenses.
Either party may reference the existence of the engagement in marketing materials, subject to the portfolio opt-out above.
6. Content & accuracy
You're responsible for the content of your website — copy, photos, video, testimonials, business data, pricing, hours, service descriptions. You can either supply this yourself or pay for our copywriting / photography add-on.
By submitting content to us, you warrant that you have the legal right to use and publish it. You agree to indemnify ROC Web Techagainst claims arising from content you supplied that turns out to infringe someone else's intellectual property or publicity rights.
We'll proofread and flag obvious issues, but we don't independently verify business claims, pricing accuracy, legal disclaimers, or regulatory compliance. If your industry has specific disclosure requirements, please tell us during intake.
7. Hosting & uptime
Your site is hosted on Vercel, with a target uptime of 99.9% best-effort. We don't offer a formal SLA at the package tiers above — but in practice, Vercel's uptime has comfortably exceeded that target across sites we manage.
Scheduled maintenance will be announced at least 48 hours in advance by email. Unscheduled outages are addressed on a best-effort basis as soon as we're alerted.
8. Data & privacy
We collect a small amount of data about you and your business:
- Intake form responses (what you submitted when you signed up).
- Communication records (emails, SMS, meeting notes from our engagement).
- Site analytics (aggregate, anonymized traffic data from your live site).
- Billing records (payment history, invoices; card numbers handled by Stripe).
Data is stored across a small number of trusted systems: Google Workspace, our analytics provider, Sanity for CMS content, and Stripe for billing. We don't sell your data and we don't share it except as needed to deliver the services.
If you're a California resident, you have rights under the CCPA to know what we've collected, request deletion, and opt out of any “sale” of personal information (we don't sell it). If you're in the EU or UK, you have rights under GDPR to access, correct, port, or delete your personal data. Email contact@rocwebtech.comand we'll respond within 30 days.

9. Cancellation & termination
You can cancel hosting at any time with 30 days' written notice by emailing contact@rocwebtech.com. Your service continues through the notice period and any remaining prepaid month.
Build deposits are non-refundable.If you cancel a build before go-live, we'll deliver whatever has been produced to that point.
Hosting refunds are pro-rata for unused full months remaining at the cancellation effective date. Partial months are not refunded.
On termination, we'll:
- Transfer the production code repository to you (or provide an archive)
- Hand over DNS instructions so you can point your domain at a new host
- Provide an export of your CMS content (if applicable)
- Decommission our hosting and remove your project from our systems within 30 days
We may terminate an engagement for cause — repeated non-payment, abusive behavior, illegal use of the services, or material breach of these Terms — with written notice.
10. Limitation of liability
To the maximum extent allowed by law, ROC Web Tech's total liability to you for any claim arising out of or related to these Terms or the services is capped at the total amount you've paid us in the twelve (12) months preceding the claim.
We are not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost revenue, lost data, business interruption, or reputational harm.
Force majeure. Neither party is liable for failure or delay caused by events outside its reasonable control — acts of God, natural disasters, war, pandemics, government action, internet or utility outages, third-party platform failures, or major upstream cyberattacks.
Nothing in this section limits liability for fraud, willful misconduct, or anything else that can't legally be limited.
11. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
Any dispute arising under these Terms will be resolved in the state or federal courts located in Monroe County, New York, and both parties consent to the exclusive jurisdiction of those courts.
Arbitration. If both parties agree in writing, a dispute may instead be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in Monroe County, New York. Arbitration is opt-in.
12. Changes to these Terms
We may update these Terms from time to time. The “last updated” date at the top of the page always reflects the current version.
Material changeswill be communicated to active clients by email at least 30 days before they take effect. If you don't agree with a material change, you can cancel hosting under the standard 30-day notice and the change won't apply to your remaining service period.
